By accessing or using services from Silvergrey.in (hereinafter referred to as "Silvergrey," "we," "us," or "our"), you ("Client," "you," or "your") agree to comply with and be legally bound by these Terms & Conditions (T&C). If you do not agree, you must discontinue use of our services immediately.
Services: Custom software development, consulting, maintenance, and related offerings.
Deliverables: Code, documentation, designs, or other outputs provided under a Statement of Work (SOW).
"SOW": A mutually agreed project scope document outlining deliverables, timelines, and costs.
3.1 Proposal & Agreement
All projects require a signed SOW or Service Agreement before commencement.
Any changes to scope ("Change Requests") must be approved in writing and may affect timelines and costs.
3.2 Client Responsibilities
Provide timely feedback, approvals, and necessary resources (e.g., APIs, credentials).
Ensure accuracy of requirements; delays due to unclear specifications may incur additional charges.
3.3 Development Process
We follow Agile/Waterfall (as per SOW) with regular updates.
Acceptance Testing: Client must review deliverables within 7 days of submission; silence implies acceptance.
4.1 Pricing & Invoicing
Fees are as per the SOW (fixed-price or time-and-materials).
Milestone Payments: 30–50% advance, balance upon completion (unless otherwise agreed).
Hourly Engagements: Billed monthly with detailed timesheets.
4.2 Late Payments
Overdue invoices incur 1.5% monthly interest or as per applicable law.
We reserve the right to pause work until payment is received.
4.3 Taxes
All fees are exclusive of GST/other taxes unless specified.
5.1 Ownership Transfer
Upon full payment, Silvergrey assigns all rights to custom-developed code to the Client.
Pre-existing IP (libraries, frameworks) remain licensed under their original terms.
5.2 Open-Source & Third-Party Tools
We may use open-source components (disclosed in documentation).
Client is responsible for third-party license compliance (e.g., SaaS APIs).
5.3 Moral Rights & Portfolio Use
Silvergrey retains the right to display work in portfolios unless an NDA prohibits it.
6.1 NDA & Data Security
Both parties agree to protect confidential information as per a mutual NDA.
We adhere to ISO 27001/GDPR (where applicable) for data security.
6.2 Client Data Liability
Client warrants they have rights to any data provided (e.g., user content, logos).
7.1 Service Warranty
We guarantee bug-free deliverables for 30 days post-delivery (unless otherwise stated).
Exclusions: Issues arising from unauthorized modifications or third-party integrations.
7.2 No Indirect Damages
Silvergrey is not liable for:
Lost profits, data breaches (unless due to our negligence), or force majeure events.
Maximum liability capped at 100% of fees paid.
8.1 Termination for Cause
Either party may terminate for material breach with 30 days’ notice.
Client must pay for completed work + early termination fees (if applicable).
8.2 Suspension
We may suspend services for non-payment or legal/security risks.
9.1 Arbitration
Disputes resolved via arbitration in [Gurugram, India] under the Arbitration and Conciliation Act.
Mediation is required before litigation.
9.2 Governing Law
These T&C are governed by the laws of [State/Country].
10.1 Force Majeure
Neither party is liable for delays due to war, pandemics, or natural disasters.
10.2 Amendments
Changes require written consent (email suffices).
10.3 Entire Agreement
These T&C supersede all prior agreements.
